Previously announced private placement for 6,000,000 shares at $0.30 per share for approximately $1.8 million in gross proceeds has been terminated.

Investor option to purchase up to 4,000,000 additional shares at $0.50 per share over 36 months will not proceed.

The company will evaluate alternative financing options to strengthen its balance sheet and support working capital needs.

The company stated existing resources and operating cash flow are expected to fund working capital requirements for the next twelve months.

Management Commentary:

"While we are disappointed that this financing will not be completed, we stay focused on advancing our operational objectives and supporting customer demand. We will continue to evaluate alternative financing options, as appropriate, to strengthen our balance sheet and support working capital needs."

Our Quick Take:

Our main concern is whether this termination will negatively impact TXRP’s 2026 growth plans. TXRP previously said they would achieve 50% growth in 2026, and now we wonder if these plans are jeopardized.

TX Rail Products, Inc. supplies and sells drill bits, mining tools, and rail products—including rails, steel ties, and switches—primarily to coal mining operations for use in drilling and coal transportation infrastructure.

Research

TX Rail Products, Inc. (OTC:TXRP) ($0.32; $14.3M market cap) announced Q1 2026 results:

Q1 sales of 3.6 million vs. 2.1 million in the prior year

Q1 2026 EPS: 0.01 vs. 0.00 in the prior year

Management Commentary:

“We delivered a strong start to fiscal 2026, marked by substantial revenue growth and significantly improved profitability. Demand across our core rail markets remained robust, allowing us to expand margins while maintaining disciplined cost control. Our ability to generate meaningful operating cash flow while scaling the business reflects the strength of our operating model and the dedication of our team. We remain focused on executing against our backlog, supporting our customers, and building long-term value for shareholders as we move through the year.” — Mr. Shrewsbury, CEO and Chairman

Our Quick Take:

While we expected a good quarter, the results came as a bit of a surprise. It’s nice that the quarter does not reflect the contribution of capital the company is slated to receive if the recent capital raise announcement closes. We presume this capital will allow the company to increase inventory, labor, and trucks to meet increased demand.

TX Rail Products, Inc. supplies and sells drill bits, mining tools, and rail products—including rails, steel ties, and switches—primarily to coal mining operations for use in drilling and coal transportation infrastructure.

Reasons For Tracking

Contributed by MS Cliff Notes

Multibagger Themes: GARP - Strong Revenue Arrives Growth - Shareholder-Aligned CEO - Operational Agility - Increased Hiring

This is the third of five cliff notes we’re publishing this week, aligned with our Monday community update. The company projects 50% revenue growth in FY2026 and is already building inventory to meet anticipated demand. The CEO is highly conservative and shareholder-friendly, having lent the company funds at 0% interest. Additionally, the company just completed a raise to a premium to the stock price, which should set the stage for a strong FY2026. With these fundamentals, the stock trades at just a 10 forward P/E. Part of the reason for low valuation is because investors are misinterpreting the company’s risk profile and are underestimating growth opportunities

Note: In order to help you understand a story even more, this Cliff Note includes a link to a fireside chat with management.

Elevator Pitch

TX Rail Products Inc. (TXRP) is a specialized supplier of rail materials to coal miners, short line railroads, and tunneling contractors, combining a lean cost structure with strategic supplier partnerships to drive growth. Positioned for 50%+ revenue growth in FY2026 and supported by recent capital to expand inventory, the company leverages agility and rapid customer response as a competitive edge over larger rivals. With a conservative, shareholder-aligned CEO and disciplined execution, TXRP offers an attractive risk-reward profile.

Description

TX Rail Products Inc. (TXRP) is a specialized supplier and distributor of rail materials focused on the domestic coal mining industry, short line railroads, and tunneling contractors. The company’s business strategy includes expanding market share and profitability through reliable sourcing, competitive pricing, and a lean cost structure supported by strategic supplier partnerships.

Products/Segments

We can see that TXRP gets most of its revenue from rail products and not mining products (a product the company does not even mention).

Customers

TX Rail Products’ customers consist primarily of domestic coal mining companies, short line railroad operators, and tunneling contractors that require dependable, cost-effective rail materials to support their infrastructure, transportation, and extraction activities.

Reasons to Add to the Index

1. Strong Momentum Going into 2026: On September 25, 2025, TXRP issued a PR in which management stated they expect at least a 50% growth rate in FY2026 after successfully navigating tariffs:

“Positioned for projected 50% minimum revenue growth in FY2026 following successful navigation of tariff environment.”

“We have made tremendous operational and financial progress in recent months, taking deliberate actions to strengthen our foundation and position for future growth.“We have made tremendous operational and financial progress in recent months, taking deliberate actions to strengthen our foundation and position for future growth.”

A few months later, on December 30, 2025, TXRP issued its FY2025 results. Unfortunately, they did not reiterate their 50% growth rate goal explicitly. However, they did mention a sharp increase in inventory, in preparation for strong demand:

“Inventory was $5.1 million as of September 30, 2025, an increase of 79.1% as compared to $2.8 million as of September 30, 2024. The increase in inventory is primarily the result of materials acquired in advance of customer orders and project-related demand.”

2. Capital Constraints Removed: When certain companies are preparing for or experiencing a sharp increase in revenue, cash flow is often strained because growth usually requires upfront investment in additional working capital, personnel, and capital expenditures (eg, more trucks) to meet rising demand.

TXRP is no exception. In a Geoinvestoing October 2024 fireside chat with management, the CEO discussed opportunities to expand within the coal industry and to diversify into other types of mining and short-line railroads. Back then, this expansion was limited by capital constraints, since the CEO had self-funded the company.

Fortunately, this problem appears to have been addressed. On January 5, 2026, the company issued 6M shares at $0.30 to an institutional investor for gross proceeds of $1.8M. Additionally, they issued 4M warrants with a strike price of $0.50 that expire in 36 months. The great thing here is that the shares were issued at a premium to the stock’s price. On the trading day before the announcement, the stock was trading at around $0.19. This resulted in a 22.2% dilution, which we are generally ok with as long as it’s accretive to growth.

As mentioned earlier, they will use this capital to purchase inventory, which puts them on track to meet that 50% growth rate target:

“This additional capital strengthens our balance sheet and positions us to secure the inventory needed to meet growing customer demand. With clear visibility into our order pipeline, we can strategically build inventory and take advantage of current market opportunities.”

3. Short-Line Railroad Opportunity: During the fireside chat, the CEO stated that the company could potentially increase its revenues by expanding into short-line railroads.

“I’m gonna say it right now, it’s just that we haven’t pursued it hard enough [short-line railroad opportunity].”

Maj asked, “Are you beginning to do that now?” to which the CEO replied:

“Two months there, we reach our max… If we know that that’s going to continue at this level, we would hire people, but you don’t hire people, put that expense in here if you don’t know you’re going to have that revenue.”

Comparing FY2025 SG&A expenses of $1.0M to FY2024 expenses of $895K, we observe a noticeable increase. The company does not provide a detailed SG&A breakdown in its annual report, but the Q3 2025 report shows that a portion of the increase is driven by Salaries and Expenses, which rose to $262K in 9M 2025 from $212K in 9M 2024. Given that the CEO has stated he will only hire when revenue growth is visible, this rise in personnel-related expenses reflects investments in anticipation for growth.

4. Opportunity to Increase Wallet Share: In the fireside chat, management stated that there is a significant opportunity to increase sales with existing customers within the coal industry.

“One of the companies that we sell to has approximately 40 mines. So another one, larger one, a large company only has three mines, but between the two of them, they’re probably equal as far as how much material they buy.”

5. Agility as a Competitive Advantage: Despite being a smaller player, TXRP has a significant edge over larger competitors. In the fireside chat previously mentioned, the CEO stated that it had a very small headcount:

“I only have six employees. One is the CFO, one truck driver, one yard person, two salesmen, and myself… and a part-time secretary.”

Although the company may have grown its headcount since then, this lean structure enables rapid customer service response, which is a competitive advantage in this market:

“We only have one competitor. They are a multi-billion-dollar company. So yes, it is possible they could step on us, put us out, but that’s really not possible because of the overhead that they have vs our overhead. Six individuals’ payroll doesn’t meet 50-60 people by the time they get their product delivered.”

“... when you’re as large as they are, it’s hard to take care of a customer that calls you at three o’clock in the evening and say, can I have a loader rail in the morning at seven? I’m completely out, we’re shut down… We can do that without any problem, to where they can’t physically do that, they’re just too big.”

6. Conservative CEO: As previously mentioned, the CEO self-funded the company, and this is the reason why we see a “Note payable - related party” with a balance of $2.0M as of Q4 2025. The interesting thing about this loan is that it currently does not bear any interest.

“As you know, the company owes me over $2M, and about four years ago, I agreed that I would not take any interest on the money. So the company owes me the money… but the company is not paying out interest today.”

Why is the CEO even doing this? I think it has to do with his ownership in the company and his conservative nature. Taking into account the recent private placement, the CEO owns a little less than 19.0% of the company (according to some old filings). If you pair this information with the fact that the CEO lost his business back in the 80s due to high interest rates, it seems logical:

“... when the interest went to 24%, I had a business, and I lost everything because my interest that I was paying was just so high. I couldn’t afford it, so I had to sell everything. So after that, I’ve made up my mind that I do not wanna pay any interest.”

7. Coal Demand Misconception: Even though coal demand in the US has been decreasing, which should be a headwind for the company, there is still significant demand overseas.

“... people think that the coal, the coal binding business won’t be here five years from now, two years from now. That’s totally wrong because right now, probably 80% of the coal that is produced is going overseas, and probably 50% is going to China. That will never change, they will continue to buy coal.”

“... us worrying about going out of business, because there’s no coal mines producing coal or needing the rail, I’m not worried at all.”

Valuation

TXRP generated $1M in net income in FY2025. For simplicity’s sake, let’s assume they achieve their goals and the 50% revenue growth translates into a 50% net income growth. This would mean $1.5M in net income for FY2026. If we divide this by 55M shares outstanding (45M common shares as of FY2025, plus 6M shares from the private placement and 4M warrants), this results in an EPS of $0.027.

The stock is currently trading at $0.28, meaning a PE of around 10.4x. If you bake in a little operating leverage, multiple expansion due to continued execution, we can see the stock doubling in 12-18 months.

Risks

Lease with CEO: The Company leases its headquarters and warehouse from the CEO and a family member. Even though I think it’s important to mention this arrangement, I don’t think it’s a red flag. The CEO is a significant shareholder and has demonstrated shareholder-aligned behavior, such as foregoing interest on company notes.

Customer Concentration: TXRP’s top five customers comprised 65% of their FY2025 revenue, meaning that if one of them leaves, it could greatly impact their operations.

Succession: The CEO is around 80 years old, and succession could be an issue. Although the CEO mentioned that he is training one of his salesmen to fill in his shoes:

“... one of the salesmen, I’m training him to fill in. I mean, I know I could die tomorrow… And he is taking the bull by the horns, and I think he’ll be as good or better than I am.”

Research Tasks

1. Revenue Visibility: How much of the expected FY2026 growth is supported by firm orders or contracted backlog versus anticipated spot demand?

2. Inventory Allocation: The inventory build was up 79% YoY. What portion of that inventory is:

Tied to specific customer orders?

Intended to support anticipated demand without signed commitments?

3. Customer Concentration: Your top five customers represent 65% of revenue. Are these customers on:

Multi‑year supply relationships?

Repeat spot purchases?

Project‑based demand?

4. Gross Margin Outlook: As revenue grows, should investors expect gross margins to expand, remain stable, or compress, and why?

5. Operating Leverage: Does the lean headcount structure allow for meaningful operating leverage, or does growth require proportionate increases in personnel and logistics?

6. Financing Needs: Do you foresee the need for additional equity or debt financing if demand accelerates faster than expected?

7. Succession: You’ve mentioned training a salesman as a successor. What responsibilities has this individual already assumed?

8. Expansion: What are management’s plans to expand outside of coal?

Research

TX Rail Products, Inc. (OTC:TXRP) ($0.19; $8.5M market cap) announced a private placement transaction:

Issued 6,000,000 shares of no par value common stock at $0.30 per share in a private placement to a single institutional investor, raising $1.8 million.

Investors received warrants to purchase an additional 4,000,000 shares at $0.50 per share, exercisable over 36 months.

Both the share price and warrant exercise price represent a premium to the market price of $0.2450 as of December 23, 2025. (the date the transaction was agreed upon and priced.)

Proceeds will be used for working capital, specifically to purchase inventory to meet customer demand.

Management Commentary:

"This additional capital strengthens our balance sheet and positions us to secure the inventory needed to meet growing customer demand. With clear visibility into our order pipeline, we can strategically build inventory and take advantage of current market opportunities. Furthermore, this transaction reflects investor confidence in our growth trajectory and long-term value creation." — Mr. Shrewsbury, CEO and Chairman of TX Rail Products, Inc.

Our Quick Take

Well, as we said in our most recent update on Txrp, the company needed access to capital to meet increasing demand. It’s nice to see that they have that capital in place and that the terms of the capital raise is generally investor friendly (about 20% dilution potential). You can see what we wrote about TXRP in last week's morning email where we talked about their Q4 2025 results as well as in yesterday’s Sunday weekly wrap up that you can read here.

TX Rail Products, Inc. supplies and sells drill bits, mining tools, and rail products—including rails, steel ties, and switches—primarily to coal mining operations for use in drilling and coal transportation infrastructure.

Research

TX Rail Products, Inc. (OTC:TXRP) ($0.21; $9.3M market cap) announced Q4 and full-year 2025 results:

Q4 2025 sales of $2.16 million vs. $2.27 million in the prior year

Q4 2025 EPS: $0.00 vs. $0.01 in the prior year

Full-year 2025 sales of $8.26 million vs. $8.15 million in 2024

Full-year 2025 EPS: $0.02 vs. $0.03 in 2024

“Our results for fiscal 2025 reflect increasing demand across our core end markets and meaningful progress in positioning the business for future growth. We continued to invest in product availability and operational readiness to support expanding opportunities with mining, rail and infrastructure customers. While recent tariffs and higher operating costs impacted near-term margins, we believe the investments we have made strengthen our ability to respond to customer needs, execute on backlog and pursue incremental growth as market conditions evolve.”

Our Quick Take:

In September 2025, the company issued a release stating that, despite a tough 2025, it anticipates projected 2026 revenue growth of at least 50% compared to fiscal 2025. While today’s release seems bullish about future growth, it would have been nice to see management reiterate its 2026 guidance.

One thing to watch is whether the company can maintain healthy margins as revenue increases.

Furthermore, during our Skull Session Fireside with the CEO in 2024, he mentioned that the constraint to growth was capital to purchase more trucks to deliver additional product to mines.

TX Rail Products, Inc. supplies and sells drill bits, mining tools, and rail products—including rails, steel ties, and switches—primarily to coal mining operations for use in drilling and coal transportation infrastructure.

Research

TX Rail Products, Inc. (OTC:TXRP) ($0.13; 5.8M market cap) announced anticipated growth for 2026 and uplist plans.

“We have made tremendous operational and financial progress in recent months taking deliberate actions to strengthen our foundation and position for future growth. Importantly, we have worked through recent challenges due to changes in U.S. trade policy by effectively managing our inventory levels and now have a clear line of sight to projected revenue growth in fiscal year 2026 of at least 50% compared to fiscal year 2025”.

We are actively positioning for an uplist to the OTCQB in the next six months, a milestone that will provide enhanced visibility, transparency and access to a broader base of investors. To support this effort, we have engaged Forvis Mazars, LLP, one of the nation’s top 10 public accounting firms, as our new independent registered public accounting firm, strengthening shareholder confidence in our financial reporting. With this momentum, we believe we are well-positioned to deliver meaningful growth and long-term value for our shareholders.”

Q2 sales of $2.2 million vs. $2.5 million in the prior year

Q2 EPS of $0.01 vs. $0.01 in the prior year

Gross margin declined to 28.0% from 33.6% due to product mix

Net income down 37.4% to $367,000

Mr. Shrewsbury, CEO and Chairman of TX Rail Products, Inc., commented, “Through the first half of fiscal 2025, we outpaced the same period last year with higher revenue and increased cash from operations. With strong demand signals across our key markets and favorable market conditions for our offerings, we are entering the second half of the year with confidence.”

“Increasing our credit line, securing essential materials at favorable pricing and investing in our delivery infrastructure reinforces our ability to sustain our competitive position and deliver future growth. As we execute our operational roadmap, these milestones demonstrate our commitment to smart, sustainable expansion while maintaining a strong and resilient foundation.”

We see this as a bullish step. Recall that on our Fireside Skull Session chat with CEO William Shrewsbury back on October 31, 2024, he mentioned the biggest obstacle to growth was access to capital to secure inventory to expand.

Q1 2025 Earnings Per Share (EPS): $0.00 vs. $0.00 in Q1 2024

"We delivered a 31% increase in revenue and generated positive cash from operations for the first quarter of fiscal 2025. We have added multiple new customers, and importantly, geopolitical conditions are favorable for our offerings. We expect these conditions will remain favorable in the coming years, especially in states where we already have an established presence.".

If you haven’t yet seen Maj’s Open Forum commentary regarding his site visit to the company’s headquarters last year, you can watch it here.

Q4 2024 Revenue: $2.3 million vs. $1.8 million in Q4 2023

Q4 Net income of $380k vs $174K in Q4 2023

Full year EPS of $0.03 vs $0.01 in the prior year

“For fiscal year 2024, we delivered double-digit revenue growth of 16% and with disciplined cost management, we more than doubled our net income. Importantly, we are generating positive cash from operations, thereby strengthening our balance sheet, self-funding our business and enabling the repurchase of our common stock.”

Shrewsbury continued, “Demand remains robust for our rail products, as our reputation for excellent customer service, combined with high quality product, is gaining awareness among the end markets we serve. In November we added two new customers, which underscores our optimism for accelerating top-line growth in 2025.”

With trailing EPS of $0.03, the stock is currently trading at a trailing P/E of 6.3x.

On 10/31/2024, the company’s CEO, William “Buck” Shrewbury, joined us for a Fireside Chat Skull Session to discuss his background and evolution, the company’s niche market focus, competitive advantages, growth prospects, and his long-term vision.

Revenue Q3 2024: $1.76 million vs. $1.79 million in Q3 2023

Earnings Per Share (EPS) Q3 2024: $0.0067 vs. $0.0040 in Q3 2023

Notable commentary included:

Mr. Shrewsbury, CEO and Chairman of TX Rail Products, Inc., commented, “With a 63% year-over-year increase in net income in the third quarter of fiscal 2024, we have delivered our ninth consecutive quarter of positive earnings despite a modest decline in revenue. We have successfully reduced our cost of goods to drive our gross margin to nearly 30%, which we believe is sustainable, and we are generating positive cash from operations. We are optimistic about the outlook for our business given the stable market conditions, healthy demand and nearly $7 million in tax loss carryforwards that can be used to offset future earnings.”

Mr. Shrewsbury, continued, “During the nine months ended June 30, 2024, we repurchased 418,084 shares of common stock under our stock repurchase program at a net cost of $17,000. We retire all stock upon repurchase and, in the near term, the Board of Directors intends to meet to approve of a new share repurchase program. We expect to fund future repurchases from cash on hand and cash flows from operating activities.”

Recall that Maj conducted a site visit to the company’s facility, which he discussed in our July 2, 2024 Open Forum, citing that it can be viewed as a long term growth story.
