We offer delicious, everyday Chinese food to customers who desire fast and affordable quality meals. We are the largest quick service restaurant chain in Chongqing municipality in terms of the number of restaurants as of March 31, 2010 and total sales in 2009, according to Euromonitor International, or Euromonitor, an independent market research firm, and we have a strong presence in Sichuan province. Chongqing municipality and Sichuan province cover a region of 110 million people in Southwest China that is home to Sichuan cuisine, one of the best-known Chinese regional cuisines. We directly operate all of our restaurants for effective quality control and operating efficiency. We plan to further expand our geographic coverage and increase our chain to over 130 restaurants in China by the end of 2010. &lt;/P&gt;

&lt;P&gt;The Company&apos;s board of directors (the &quot;Board&quot;), acting upon the unanimous recommendation of a special committee of the Board (the &quot;Special Committee&quot;), approved the Merger Agreement and the Transaction and resolved to recommend that the Company&apos;s shareholders vote to authorize and approve the Merger Agreement and the Transaction. &lt;P&gt;The Transaction is subject to various closing conditions, including a condition that the Merger Agreement be authorized and approved by an affirmative vote of shareholders representing two-thirds or more of the Shares present and voting in person or by proxy as a single class at a meeting of the Company&apos;s shareholders convened to consider the authorization and approval of the Merger Agreement. Following the fast expansion in the last two years, the ability of internal management to enforce high sanitation standards may become a difficult task to implement. The National Audit Office&apos;s ruling is that the Company&apos;s Chongqing subsidiary should pay enterprise income tax at the standard rate of 25%, meaning that the subsidiary owes approximately RMB6.4 million (US$1.0 million) in additional enterprise income tax for 2009.
