What was originally expected to be a two-year hardware rollout was predominantly fulfilled within 12 months as our customer requested faster hardware delivery which we were able to meet. Also impacting the year-over-year comparison was $215,000 in the amortization of deferred hardware revenue recorded in Q3&amp;#8217;25 compared to $436,000 of amortization of deferred hardware revenue recorded in Q3&amp;#8217;24.&amp;#8221; &amp;#8211; Jan Loeb, CEO&lt;/P&gt;

We also expect the benefits of our Nasdaq listing to support our M&amp;amp;A efforts by providing a more respected and liquid market for our common stock, should we wish to use shares to fund a transaction.&amp;#8221;&lt;/P&gt;
&lt;P&gt;&amp;#8220;We continue to advance discussions with OEMs regarding potential strategic relationships... We also continue to evaluate and pursue acquisition opportunities that include a monitoring component that aligns with our business model.&amp;#8221;&lt;/P&gt;
&lt;P&gt;&amp;#8220;To maintain our technology and solution leadership, we continually invest in enhancing our solutions as well as in new product development. We recently began beta testing our next-generation monitors &amp;#8211; including Omni for the residential market and OmniPro for commercial and industrial applications.&amp;#8221;&lt;/P&gt;
&lt;P&gt;&amp;#8220;We expect secular trends... to provide a long-term tailwind for our business... we feel Acorn continues to be well-positioned to deliver long-term top and bottom line growth in the coming years. &lt;P&gt;&lt;STRONG&gt;Our Take:&lt;/STRONG&gt;&lt;/P&gt;
&lt;P&gt;ACFN shares are taking a hit today and traded down 30% early in reaction to the Q3 2025 earnings report. Based on commentary in the Q2 earnings call, it was expected that earnings would start to tail off as the company had substantially completed its hardware installations tied to a large telecom contract.&lt;/P&gt;
&lt;P&gt;In our previous communications, we stated that in order for ACFN to maintain price momentum, it would have to ink a new telecom contract(s) relatively soon.&lt;/P&gt;
&lt;P&gt;We think the bigger issue is that it appears the CEO is taking a slightly more cautionary tone in setting timelines for some of the positive initiatives they are pursuing right now, including additional telecom contracts and potential acquisitions.&lt;/P&gt;
&lt;P&gt;Thus, quarterly sales and earnings-per-share comps will probably not be favorable in the short term until the company is able to secure large contract(s) or execute on other parts of the growth plan.&lt;/P&gt;
&lt;P&gt;We are somewhat surprised that the company wasn&amp;#8217;t a little more optimistic in some of the near term deals due to commentary it made at the planet microcap conference in Vegas earlier this year that earnings &amp;#8220;should not fall off the cliff.&amp;#8221; We guess that&amp;#8217;s a matter of interpretation.&lt;/P&gt;
&lt;P&gt;Considering uncertainty and timelines of new growth initiatives, the stock could be challenged in the near-term, however, the long-term growth plan is still intact.&lt;/P&gt;
&lt;P&gt;For a company like ACFN, we feel it is appropriate to value the recurring revenue separately and at a higher multiple than the hardware revenue. We&amp;#8217;ll start working on the analysis after we listen to ACFN&amp;#8217;s earnings call slated to occur at 11 a.m. ET today. But we think a quarterly run-rate earnings per share scenario of around $0.15 on normalized operations might be appropriate. We believe this growing earnings stream should be valued at a premium multiple.&amp;nbsp;&lt;/P&gt;
&lt;P&gt;Regardless, we do think that recurring revenue will continue to grow at a nice pace due to the expanding base of hardware installations.&amp;nbsp;&lt;/P&gt;
&lt;P&gt;The company has a habit of providing some information arbitrage on their earnings calls. We&amp;#8217;ll see if they can give some more clarity today.&lt;/P&gt;

Given the modest incremental investment required to scale our business, we expect approximately 50% of each incremental revenue dollar to drop to our operating income line for the foreseeable future.&lt;/P&gt;
&lt;P&gt;Our results continue to benefit from an estimated $5.4M contract to provide monitoring equipment plus an initial year of monitoring services for 5,000 -10,000 cell tower backup generators for a national cellular phone provider which we refer to as the Material Contract. The monitoring hardware rollout is progressing well, and we expect to complete all hardware deliveries by the end of 2025. We recognize hardware revenue upon delivery and customer acceptance, while monitoring revenue is deferred and then amortized over 12 months. The contract contributed $1.4M of revenue in Q2&amp;#8217;25 and a total of $4.1M since inception in Q4&amp;#8217;24, approximately 95% of which relates to hardware sales thus far.&lt;/P&gt;
&lt;P&gt;Several factors are expected to drive demand for backup power generation and our remote monitoring services in the coming years. Most importantly, growing energy demand is taxing our aging grid infrastructure, resulting in increasing reliability challenges for electricity access. In addition, a growing incidence of extreme weather events and natural disasters that disrupt electricity access for days, weeks and sometimes months, further underscores the critical importance of reliable backup power. These factors are contributing to increasing awareness, interest and demand for backup power and remote monitoring solutions that ensure their proper functioning across commercial, industrial, and residential applications.&lt;/P&gt;
&lt;P&gt;As a pioneer and technology leader in remote monitoring solutions, OmniMetrix is primed to scale our base of monitored endpoints in step with the expected growth in standby generator deployments. We&apos;ve had permission to reverse the stock and a number of investors have said to us that we should do that in order to make it easier to purchase the stock because the number of brokerage firms don&apos;t allow customers to buy stock. So I, in the past, have been hesitant to do that because historically in the 40-plus years that I&apos;ve been on Wall Street, the reverse stock split typically use value after the reverse split.&amp;nbsp; &lt;/P&gt;
